Carl Sottosanti

IGG Board of Directors

  • Carl Sottosanti serves on the board of Fubo Gaming, Compliable, and the Jeffery S. Moorad Center for the Study of Sports Law at Villanova University School of Law. Before his second career working on Advisory Boards, Carl was and still is a prominent figure in the United State Gaming Industry.

  • Carl spent 17 years working for Penn National Gaming, Inc. as Executive Vice President and General Counsel. Carl joined Penn in May 2003 and focused primarily on M & A, gaming development opportunities, corporate governance, commercial transactions, compliance and labor/employment. The legal department at Penn is responsible for all company legal, Master Lease/REIT, compliance and risk management matters. The recent Barstool Sports and Pinnacle Entertainment acquisitions are among the many large transaction he led at Penn. Carl was closely involved with all the company financings.

  • Carl also served as Corporate Secretary at Penn. In that role, he coordinated Board activity as well as Committee responsibilities (Audit, Compliance, Compensation and Corporate Governance). In connection with his work on the Annual Proxy and other governance matters, Carl regularly engaged with institutional shareholders and directors on complex topics (including ESG, activist shareholders and executive compensation) and helped achieve highly successful votes on all company proposals. In terms of gaming compliance matters, Carl established close relationships with regulators in all of the Company’s jurisdictions, facilitating prompt and practical resolution of difficult regulatory and business issues. Carl also led the placement of the Company’s D and O and Property insurance policies with a creative approach that included multiple international markets and prudent use of self insurance. The work with the Audit Committee, Compensation Committee, M & A and the placement of insurance all required extensive financial and accounting analysis and coordination with multiple departments.

  • Carl has extensive teaching and lecturing experience on gaming and business law topics, as he has lectured at Moorad Center for Study of Sports Law at Villanova University School of Law. He graduated magma cum laude from Villanova University where he was elected to Phi Beta Kappa and received his JD from Villanova University School of Law.

  • Carl is currently on temporary personal leave from the board.
